The rules that govern your use of the Nityasha app.

Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("User," "you," or "your") and The Nityasha Company ("Nityasha," "we," "us," or "our") governing your access to and use of Nityasha's website, web and mobile applications, APIs, Model Context Protocol (MCP) integrations, and related services (collectively, the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms. If you do not agree, do not access or use the Services.

1. Description of Services

Nityasha provides an AI-assisted day-planning and personal-context product, including scheduling assistance, connected agents, integrations, and related tools.

2. Eligibility and Accounts

  1. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
  2. You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
  3. Notify us immediately at [email protected] of any unauthorised use of your account.
  4. You may not use the Services on behalf of another person without authorisation, and you may not transfer your account without our prior written consent.

3. Subscriptions, Billing, and Cancellations

  1. We offer free features and paid subscription tiers. Current pricing is shown on our website.
  2. Paid subscriptions are billed in advance on a recurring monthly or annual basis through our payment processors (Razorpay and Stripe).
  3. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  4. You may cancel at any time in your account settings or by contacting [email protected]. After cancellation you retain access to paid features until the end of the prepaid period; we do not provide prorated refunds for mid-cycle cancellation.
  5. Prices are shown in the currency displayed at checkout and include applicable taxes unless stated otherwise.
  6. Refunds are governed by our Refund Policy, which forms part of these Terms.

4. Software Licence and Intellectual Property

  1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal or internal business purposes.
  2. The Services, including all software, design, and content we provide, are protected by applicable intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.
  3. You agree not to:
    • reverse-engineer, decompile, or extract source code from the Services except to the extent permitted by law;
    • resell, sublicense, or rent access to the Services;
    • use scrapers, bots, or automated means to disrupt or overwhelm the Services;
    • use the Services to build a competing product by systematically extracting non-public data;
    • access the Services by any unauthorised means or circumvent security or access controls.
  4. User Content: You retain ownership of all tasks, notes, calendars, reflections, and other content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display your User Content solely as necessary to operate, secure, and provide the Services to you. We do not use your User Content to train general-purpose AI models, as described in our AI & Data Usage Policy.
  5. You must not submit User Content that violates law, infringes third-party rights, or harms minors.

5. Third-Party Integrations

  1. Connecting third-party accounts (for example, Google Calendar, Microsoft Outlook, or AI tools) grants Nityasha the permissions you approve to read or modify data as instructed by your settings and rules.
  2. Third-party services are governed by their own terms. We are not liable for outages, API changes, or data loss caused by third-party providers.

6. AI Features

AI-assisted features process the data you direct them to process, under the safeguards in our AI & Data Usage Policy. AI output is automated and may be inaccurate; you are responsible for reviewing output before relying on it.

7. Acceptable Use

You agree not to use the Services to: violate any law; infringe intellectual property or privacy rights; transmit malware; harass or harm others; send spam; gain unauthorised access to any system; or place unreasonable load on our infrastructure. Violation is grounds for suspension or termination.

8. Termination

You may delete your account at any time. We may suspend or terminate access, with notice where reasonable, if you violate these Terms or engage in conduct harmful to other users or the platform. Sections that by their nature should survive termination (including intellectual property, disclaimers, liability limits, and dispute resolution) survive.

9. Disclaimers

  1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, to the maximum extent permitted by law.
  2. We do not warrant that scheduling output will prevent missed appointments or delays. You remain responsible for verifying your commitments.
  3. We are not responsible for third-party outages or for your use of connected tools outside our control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Nityasha and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or goodwill, arising out of or relating to the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits rights you have as a consumer under applicable law, including under the Consumer Protection Act, 2019.

11. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of India.
  2. Informal resolution: before formal proceedings, you agree to contact [email protected] and attempt to resolve the dispute informally for a period of 30 days.
  3. Arbitration: disputes that are not resolved informally shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). A sole arbitrator shall be mutually appointed. The seat and venue of arbitration shall be Guna, Madhya Pradesh, India. The language shall be English. The arbitral award shall be final and binding.
  4. Courts: subject to the arbitration process, the courts at Guna, Madhya Pradesh, India shall have exclusive jurisdiction.
  5. Class action waiver: disputes shall be resolved on an individual basis only, to the extent permitted by law.
  6. Nothing in this clause limits your rights as a consumer under applicable Indian law.

12. Miscellaneous

  1. Entire Agreement: these Terms, together with our Privacy Policy, Refund Policy, and AI & Data Usage Policy, form the entire agreement between you and Nityasha regarding the Services.
  2. Severability: if any provision is unenforceable, the remaining provisions continue in full force.
  3. Waiver: failure to enforce a right is not a waiver of that right.
  4. Assignment: you may not assign these Terms without our consent; we may assign our rights freely (for example, in a business transfer).
  5. Changes: we may update these Terms. For material changes we will notify you through the Services or by email before they take effect. Continued use after the effective date constitutes acceptance.
